Welcome to Alphanso Technology and Alphanso Innovations Private Limited (collectively referred to as "Alphanso Tech," "we," "our," or "us").

These Terms of Service ("Terms") govern your access to and use of our websites, software products, SaaS platforms, mobile applications, APIs, AI solutions, cybersecurity services, cloud services, professional consulting, managed services, and all related products and services (collectively referred to as the "Services").

By accessing, purchasing, subscribing to, or using any of our Services, you agree to be legally bound by these Terms. If you do not agree, you must not use our Services.

1. Scope of Services

These Terms apply to all products and services offered by Alphanso Tech, including but not limited to:

  • Generative AI Platforms
  • Computer Vision & Vision AI
  • OCR & Document Intelligence
  • Voice Intelligence
  • AI Chatbots & Virtual Assistants

  • Cybersecurity Services

  • APIs and Developer Platforms
  • Mobile Applications
  • Web Applications
  • Enterprise Software

2. Eligibility

By using our Services, you confirm that:

  • You are legally capable of entering into a binding agreement.
  • You are authorized to act on behalf of your organization where applicable.
  • All information provided to Alphanso Tech is accurate and complete.

3. Account Responsibilities

If you create an account with us, you are responsible for:

  • Maintaining account confidentiality.
  • Protecting login credentials.
  • Restricting unauthorized access.
  • All activities occurring under your account.

You must notify Alphanso Tech immediately if you suspect unauthorized use of your account.

4. Ownership & Intellectual Property

Unless expressly stated otherwise:

  • All software, source code, AI models, algorithms, APIs, user interfaces, documentation, graphics, trademarks, branding, databases, workflows, and related materials remain the exclusive intellectual property of Alphanso Tech.
  • Purchasing or subscribing to our Services grants you a limited, non-exclusive, non-transferable, revocable license to use the Services in accordance with these Terms.
  • No ownership rights are transferred unless explicitly agreed in writing.

5. Software Licensing

Where software licenses are purchased:

  • A license is issued only to the purchasing individual or organization.
  • Licenses are valid only for the agreed deployment scope.
  • Unless otherwise specified, one license permits use on one production environment.
  • Development, staging, or testing environments may be permitted where included in the purchased license.
  • Multi-site, multi-domain, reseller, OEM, or enterprise deployments require appropriate licensing.
  • Violation of licensing terms may result in immediate suspension or termination of the license.

6. Acceptable Use

You agree not to:

  • Copy, resell, sublicense, lease, or redistribute our software.
  • Reverse engineer, decompile, or attempt to extract proprietary technologies except where permitted by applicable law.
  • Use our Services for unlawful purposes.
  • Upload malicious software or harmful code.
  • Attempt unauthorized access to our systems.
  • Circumvent security mechanisms.
  • Interfere with service availability.
  • Use our AI systems to generate unlawful, fraudulent, harmful, or abusive content.
  • Violate applicable export control, sanctions, or cybersecurity laws.

7. AI Services

Some Services utilize Artificial Intelligence technologies. By using these Services, you acknowledge that:

  • AI-generated outputs may contain inaccuracies or incomplete information.
  • AI-generated content should be independently reviewed before relying upon it for legal, financial, medical, regulatory, or other critical decisions.
  • Customers remain responsible for all prompts, uploaded content, datasets, and resulting outputs.
  • Customer data is processed only for providing contracted services unless otherwise agreed.
  • Unless explicitly agreed in writing, customer data is not used to train publicly available AI models.

8. Customer Data

Customers retain ownership of the data they upload or provide. You grant Alphanso Tech a limited right to process such data solely for:

  • Delivering requested services.
  • Providing customer support.
  • Maintaining system functionality.
  • Meeting contractual obligations.
  • Improving service performance using anonymized or aggregated information where legally permitted.

Customers are solely responsible for ensuring they have the necessary rights and permissions to upload any data.

9. Cybersecurity Services

Where Alphanso Tech provides cybersecurity services, penetration testing, vulnerability assessments, security audits, incident response, or managed security services:

  • Results represent findings based on information available during the engagement.
  • No security assessment can guarantee complete protection against future threats.
  • Clients remain responsible for implementing recommended security measures unless implementation services are separately contracted.

10. Third-Party Services

Our Services may integrate with third-party platforms including cloud providers, payment gateways, communication services, APIs, or software vendors. Alphanso Tech is not responsible for:

  • Changes made by third-party providers.
  • Service interruptions outside our control.
  • Third-party pricing.
  • Third-party security incidents.
  • Third-party licensing terms.

Use of such services is subject to their respective terms and policies.

11. Payment Terms

Unless otherwise agreed:

  • Payment must be made before service delivery.
  • All fees are exclusive of applicable taxes unless stated otherwise.
  • Customers are responsible for applicable taxes, duties, and government charges.
  • Payment gateway fees may apply.
  • Accepted payment methods may include:
    • UPI
    • Credit Cards
    • Debit Cards
    • Stripe
    • Bank Transfer
    • Net Banking
    • Other approved payment methods

Failure to make timely payments may result in suspension of Services.

12. Subscription Services

Cloud-hosted SaaS platforms including (but not limited to): EventZ, Melodify, PlayNow, Yotix, and future Alphanso SaaS offerings operate on recurring subscription billing.

  • Subscriptions automatically renew unless cancelled before the renewal date.
  • Customers are responsible for ensuring valid payment methods remain active.

13. Professional Services

Custom software development, AI implementation, consulting, integrations, enterprise deployments, cybersecurity engagements, and managed services are governed by individual proposals, Statements of Work (SOW), quotations, or contracts. Unless otherwise specified:

  • Milestone payments are non-refundable after work has commenced.
  • Project timelines depend upon timely customer cooperation.
  • Delays caused by customers may impact delivery schedules.

14. Technical Support

Support availability depends upon the purchased plan or contract. Standard support generally includes:

  • Software installation guidance
  • Bug investigation
  • Technical troubleshooting
  • Configuration assistance
  • Product usage guidance

Support does not include unless separately contracted:

  • Custom development
  • New feature requests
  • UI/UX redesign
  • Third-party integrations
  • Server administration
  • Infrastructure management
  • Recovery of customer data
  • Issues arising from unauthorized modifications

15. Confidentiality

Both parties agree to protect confidential information exchanged during the course of business. Neither party shall disclose confidential information to third parties except:

  • With written permission.
  • As required by law.
  • To authorized subcontractors under confidentiality obligations.

Confidentiality obligations survive termination of the business relationship.

16. Availability of Services

While we strive for high availability, we do not guarantee uninterrupted access. Services may occasionally be unavailable due to:

  • Scheduled maintenance
  • Emergency maintenance
  • Security incidents
  • Infrastructure failures
  • Internet outages
  • Third-party service interruptions
  • Force majeure events

17. Intellectual Property Infringement

Customers must not:

  • Remove copyright notices.
  • Remove licensing information.
  • Claim ownership of Alphanso Tech intellectual property.
  • Rebrand or redistribute software without written authorization.

Any unauthorized use may result in legal action.

18. Limitation of Liability

To the maximum extent permitted by applicable law, Alphanso Tech shall not be liable for:

  • Indirect damages
  • Consequential damages
  • Loss of profits
  • Business interruption
  • Loss of goodwill
  • Data loss
  • Cyber incidents beyond our reasonable control
  • Third-party failures
  • AI-generated inaccuracies
  • Customer misuse of the Services

Our total liability arising from any claim shall not exceed the amount paid by the customer for the specific Service giving rise to the claim during the twelve (12) months immediately preceding the event.

19. Indemnification

You agree to indemnify and hold harmless Alphanso Tech, its directors, employees, affiliates, contractors, and partners against claims arising from:

  • Violation of these Terms.
  • Misuse of our Services.
  • Customer-provided content.
  • Intellectual property infringement caused by customer actions.
  • Illegal or unauthorized use of AI-generated content.
  • Violation of applicable laws.

20. Suspension and Termination

We reserve the right to suspend or terminate Services if:

  • These Terms are violated.
  • Payments remain overdue.
  • Fraudulent activity is detected.
  • Security risks are identified.
  • Use of Services threatens our systems or other customers.
  • Required by law.

Termination does not relieve customers of outstanding payment obligations.

21. Refund & Cancellation Policy

Unless otherwise agreed in writing:

  • Digital products are non-refundable after delivery.
  • Source-code licenses are non-refundable.
  • AI implementation services are non-refundable once work has commenced.
  • Cybersecurity assessments are non-refundable after engagement begins.
  • Custom software development payments are non-refundable according to agreed milestones.
  • Subscription fees already billed are generally non-refundable.

Refunds may be approved only in cases of:

  • Duplicate payment.
  • Incorrect billing.
  • Payment gateway processing errors.

Approved refunds are generally initiated within seven (7) business days. Actual credit timelines depend upon the payment provider.

22. Force Majeure

Alphanso Tech shall not be liable for delays or failures resulting from events beyond reasonable control, including:

  • Natural disasters
  • War
  • Government actions
  • Internet failures
  • Power outages
  • Cyberattacks
  • Pandemics
  • Labor disputes

23. Governing Law & Jurisdiction

These Terms shall be governed by and interpreted in accordance with the laws of India.

Unless otherwise agreed in writing, the courts located in Rajkot, Gujarat, India, shall have exclusive jurisdiction over disputes arising under these Terms.

24. Changes to These Terms

We may update these Terms periodically.

  • Updated versions will be published on our website with the revised "Last Updated" date.
  • Continued use of our Services after such updates constitutes acceptance of the revised Terms.
